Terms & Conditions

1. Agreement to Terms

By engaging JM Web Solutions ("we", "us", "our") for web development services, you ("client", "you", "your") agree to be bound by these Terms and Conditions. Please read them carefully.

2. Services

We provide professional web development services including but not limited to:

• Custom website design and development
• E-commerce solutions
• Website redesign and modernization
• Responsive web design
• Website maintenance and support
• SEO optimization

3. Non-Payment Protection

To protect both parties, the following policies are in place:

3.1 Before Final Payment

• The website will remain on our development server
• No live deployment will occur
• No source files, databases, or access credentials will be transferred
• The domain will not be pointed to the new website

3.2 If Payment is Not Received Within 30 Days of Delivery

• A late fee of 5% of the outstanding balance will be applied
• Access to preview the website may be revoked
• After 60 days, the project may be cancelled and files deleted
• Legal action may be pursued for the full amount owed plus fees

3.3 Ownership and Access

• Before Full Payment: JM Web Solutions retains all rights, ownership, and control of the website, design, code, and all related materials
• After Full Payment: Complete ownership and all files transfer to the client
• Source code, design files, and admin access are only provided after 100% payment received

4. Project Scope & Revisions

Each project will have a clearly defined scope agreed upon before work begins.

4.1 Included Revisions

• Two rounds of revisions are included in the quoted price
• Revisions must be requested within the scope of the original agreement
• Additional revisions beyond the included rounds will be billed separately

4.2 Scope Changes

• Changes to the project scope may result in additional fees
• All scope changes must be agreed upon in writing
• Additional fees for scope changes must be paid before work proceeds

5. Timeline & Delivery

• Project timelines will be discussed and agreed upon before work begins
• Timelines are estimates and may be affected by client feedback delays
• We will make reasonable efforts to meet agreed timelines
• Delays caused by client (late content, delayed feedback, etc.) may extend the timeline

6. Client Responsibilities

To ensure timely completion, the client agrees to:

• Provide all required content (text, images, logos) in a timely manner
• Provide access to necessary accounts (hosting, domain, etc.) when required
• Provide timely feedback on designs and development
• Make payments according to the agreed schedule
• Communicate clearly about requirements and expectations

7. Hosting & Domain

• Website hosting and domain registration are separate from our development services
• We can recommend hosting providers but are not responsible for hosting-related issues
• The client is responsible for ongoing hosting and domain renewal fees
• We can set up hosting on your behalf as an additional service

8. Intellectual Property

• Upon Full Payment: The client receives full ownership of the custom design and content
• Before Full Payment: All intellectual property rights remain with JM Web Solutions
• Third-party tools, plugins, and frameworks retain their respective licenses
• Stock images, if used, must be properly licensed by the client

9. Warranties & Liability

We warrant that:

• The website will be built using professional standards and best practices
• The website will be tested and functional upon delivery
• Bug fixes within 30 days of launch are included

We are NOT liable for:

• Losses due to website downtime caused by hosting issues
• Content provided by the client (accuracy, legality, copyright)
• Third-party service failures
• Issues arising from client modifications after delivery

10. Support & Maintenance

• 30 days of post-launch support is included for bug fixes
• Training on how to use the website can be provided
• Ongoing maintenance and updates are available as a separate service
• Emergency support is available on a case-by-case basis

11. Cancellation Policy

11.1 Client Cancellation

• The 35% upfront payment is non-refundable once work has commenced
• If cancelled mid-project, client pays for all work completed to date
• Completed work up to the cancellation point may be provided at our discretion

11.2 Our Right to Cancel

We reserve the right to cancel a project if:

• Payments are not made according to the agreed schedule
• The client fails to provide necessary materials after multiple requests
• The client is abusive, threatening, or unreasonable in communications

12. Confidentiality

• We will keep all client information confidential
• Login credentials and sensitive data will be handled securely
• We may showcase completed work in our portfolio unless requested otherwise

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of [Your Country/State]. Any disputes shall be resolved in the courts of [Your Jurisdiction].

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will apply to new projects only. Existing projects will continue under the terms agreed upon at the start of the project.
